    🚨 "Strategy CEO Le Phong submits intent to sell $11.1 million worth of MSTR shares!" Such headlines are currently causing uncertainty. The proper assessment, however, looks different: On June 3, he was awarded 190,740 shares from a long‑term compensation program. Because taxes were due on them, 93,738 shares had to be sold to cover the tax bill of roughly $11.1 million. Important: • The sale had already been regulated since May 2024 via a fixed 10b5‑1 plan. • According to SEC filings, the sale was solely to settle the tax liability. • Before the transaction, Le Phong held 22,923 shares. • After the transaction, he holds 119,925 shares. Thus his share count did not drop but actually rose from roughly 23,000 to about 120,000 shares. There is currently no indication that Le Phong has suddenly lost confidence in Strategy or is “deserting a sinking ship”. Of course, insider sales should always be monitored. But currently, regular transactions are being turned into headlines to cause panic. Not every insider transaction is a warning signal. Often it is simply normal compensation and tax planning.     📌 CEO Strategy Phong Le sold 93,738 shares of $MSTR on 05/06 at an average price of about $118.73 per share (raising more than $11.13M). 📌 However, the transaction occurred immediately after he was vested with 190,740 PSU on 03/06. The amount sold represents ~49% of the newly received shares. 📌 The filing states that the sale was carried out under a 10b5-1 plan established in May 2024 and was used to pay tax obligations arising from the PSU vest. Nonetheless, the timing is very sensitive as Strategy has just sold $BTC after many years. The CEO's transaction will be interpreted by the market as insider selling.
